Chapter Bylaws

Bylaws of the “(your group name) Chapter” of the Idaho Chaplains Corps, Inc.  (The word “Chapter” must be included in your group name.)

Article 1:  Name of the organization

  1. This organization shall be called the (group name) Chapter of the Idaho Chaplains Corps, Inc.  In these bylaws it is referred to as the Chapter; the Idaho Chaplains Corps, Inc. is referred to as the ICC.

Article 2: Purpose

  1. Affiliation:  The Chapter is chartered by the Idaho Chaplains Corps.
  2. Specific Purpose:  The primary purpose of the Chapter is to carry out the purpose, mission and objectives of the ICC on a local level.
  3. The primary purpose of the ICC is to share the Gospel of Jesus Christ and do the work of the body of Christ with all those involved in crisis and/or in the criminal justice system in the State of Idaho.

Article 3:  Membership

  1. Membership in the Chapter shall be open to all ICC Affiliate Members living in the geographic area covered by the Chapter.
  2. All members of the chapter shall be entitled to vote in chapter affairs.
  3. (Other requirements for chapter membership such as annual dues)

Article 4:  Officers

  1. The officers of this Chapter shall be:  Chair, Secretary, Treasurer.  These officers constitute the Executive Committee.  A minimum of three officers is needed to establish a Chapter.  Other offices may also be established. 
  2. The officers will be elected by a majority of the votes cast at the annual election meeting.  They will take office on January 1st and serve for one year.
  3. (Provisions for filling vacancies left by resignations should be included in this article.  Provisions for limiting the number of terms that a person can serve in a position also may be included in this article)

Article 5:  Duties of Officers

  1. The Chair is the principal officer and is responsible for leading the Chapter and managing its activities in accordance with the policies and procedures of the ICC and these bylaws.  The Chair will preside at all meetings of the Chapter and its Executive Committee.
  2. The Secretary will give notice of, and when possible attend, all meetings of the Chapter and the Executive Committee, and will keep true and complete minutes of those meetings.  He or she will be responsible to submit a quarterly report of Chapter activities to the ICC.  He or she will keep a register of the mailing addresses of all Chapter members and officers, and in general perform all duties which may be delegated to him or her by the Chair.
  3. The Treasurer will collect applicable dues, pay all bills, and maintain the Chapter’s financial records.  He or she will provide a quarterly financial statement to the ICC and is responsible for the timely filling of tax returns.  As well, he or she will in general perform all duties which may be delegated to him or her by the Chair.

Article 6:  Committee(s)

  1. Executive Committee:  Between Chapter meetings, the Executive Committee will possess and exercise all the authority of the Chapter.
  2. The Executive Committee will monitor budget expenditures and submit recommendations for budget adjustments, if appropriate/required, to the Chapter.  This committee will be responsible for preparing a presentation to the Chapter which demonstrates how the budget is consistent with Chapter goals.  The Committee will perform other duties as may, from time to time, be assigned to it by the Chapter.
  3. The Executive Committee will report all actions taken and decisions made, and will provide meeting minutes to the Chapter not later than 45 days from said meeting.
  4. (Additional committees may be established at the discretion of the Chapter.)

Article 7:  Meetings

  1. Regular meetings of the Chapter will be held bi-monthly at a date and time established by the Chapter. (This is the minimum requirement, meetings may be held more frequently.)
  2. Written notices of all meetings will be sent out to all Chapter members at least one week prior to any meeting.
  3. The Annual meeting will be held at the last regular meeting of the fiscal year.  At this meeting the election of officers will be held.
  4. No official business of the Chapter will be conducted unless a quorum is present.  A quorum is defined as _______% of the voting membership of the Chapter or at least _____ members, whichever is greater.  A simple majority of the voting members present is required to carry a motion.

Article 8: Amendments to Chapter By-laws

  1. Any amendments to these By-laws must be submitted to the Secretary of the ICC, who will submit them for approval to the Executive Committee of the ICC Board. Following approval by the ICC Executive Committee, the Chapter may vote to changes these By-laws. Any changes to these By-Laws will require a two-thirds (2/3) majority of the voting members present.

Article 9: Fiscal Year

  1. The fiscal year of the Chapter will begin January 1 and end on December 31.

Article 10:  Dissolution of the Chapter

  1. Dissolution of this Chapter by consent of the members will consist of unanimous agreement of all its officers together with a majority vote at a meeting which has been publicized in advance to all members of the Chapter for the purpose of taking this vote.
  2. Should this Chapter be dissolved, its assets and liabilities will be transferred to the ICC.

Article 11:  Authority

  1. These bylaws shall be the principal governing document of the (Name) Chapter of the ICC.
  2. These bylaws will be subordinate to the Articles of Incorporation and Bylaws of the ICC.
